This Licensing Agreement has been developed by Wirigan Pty Ltd (trading as Cedric Engineering) for the basis of a template agreement. The agreement will be revised on a case by case basis as appropriate following discussion of project requires, client expectations, and further legal advice.
Effective Date: 21 August 2023
1.1 Description: This agreement pertains to the licensing of hardware and electronics or intellectual property.
2.1 Scope of License: Licensor grants Licensee a Non-Exclusive license to use, as described below, the licensed property.
2.2 Geographical Scope: This license is valid for use within Australia.
2.3 Limitations on Use: Licensee may use the licensed property only for the specific purposes that the product(s) and software were designed for.
3.1 Term: This agreement shall be effective from the Effective Date and will continue until terminated as provided herein.
3.2 Termination: Either party may terminate this agreement with written notice if the other party materially breaches any of its obligations under this agreement.
3.3 Effects of Termination: Upon termination, Licensee shall cease use of the product(s) and software as applicable.
4.1 Fees: Licensee shall pay Licensor agreed upfront fees upon execution of this agreement.
5.1 Ownership: All rights, title, and interest in and to the licensed property and any modifications or improvements thereto shall remain with Licensor.
5.2 New Developments: Any new developments or improvements made by Licensee during the term of this agreement shall be owned by both parties, if applicable.
6.1 Confidential Information: The parties may disclose certain confidential information to each other. The receiving party shall use such information solely for the purposes of this agreement and maintain its confidentiality.
6.2 Breach: In the event of a breach of confidentiality, the non-breaching party may seek injunctive relief and damages.
7.1 Licensor's Warranty: Licensor represents and warrants that it has the right to license the property and that it does not infringe on the intellectual property rights of any third party.
8.1 Third-Party Claims: Licensee shall indemnify and hold harmless Licensor from and against any claims, losses, liabilities, and expenses arising from or related to Licensee's use of the licensed property.
9.1 Governing Law: This agreement shall be governed by and construed in accordance with the laws of Australia.
9.2 Jurisdiction: Any disputes arising out of or relating to this agreement shall be resolved in the courts of Australia.
10.1 Entire Agreement: This agreement constitutes the entire understanding between the parties and supersedes all prior agreements and understandings, whether oral or written.
